Verificio.com is owned and operated by Verificio Technologies Inc. ("Verificio", "we", "us", or "our") and for the purpose of this agreement shall be known as "The platform" or "The Site". The platform provides, on a fee basis, an online repository of the employment history of employees to aid and provide employers with real-time referencing and verification of their prospective employees.
In order to access these services, users must agree to all of the following terms and conditions.

1.1 The information supplied by The Platform is provided "as is", "where is" and "as available" and Verificio.com makes no warranties, express or implied, as to the merchantability, title, fitness for a particular use or purpose, non-infringement or any other warranty, condition, guaranty, or representation, whether oral, written, or in electronic form, including but not limited to the accuracy, completeness, or timeliness of any information contained herein or provided by The Platform. More so, all records contained in and presented by The Platform are compiled from entries made by users for referencing and verification purposes and may not be 100% complete or accurate.

1.2 Verificio makes no warranties nor does it assume any responsibility for liabilities, damages or loss arising from the failure of telecommunications infrastructure, or the internet that results in the disruption of our services.
Under no circumstance shall Verificio.com or Verificio Technologies Inc. be liable for any damages suffered by any user, including any incidental, special, exemplary or consequential damages (including, without limitation, any loss of profits or damages for business interruption, loss of information, programs or other data) that result from access to, use of, or inability to use this platform or due to any breach of security associated with the transmission of information through the internet, even if Verificio Technologies Inc. was advised of the possibility of such damages. You shall be solely responsible for your misuse of any of advice, ideas, information, instructions or guidelines accessed through the platform. Verificio does not warrant that the Platform is free of viruses or other harmful components. You shall be solely and fully responsible for any damage to any computer system, any loss of data, or any improper use or improper disclosure of information caused by you or any person using your login credentials. it is your responsibility to install or download sufficient software or hardware protection for your device or computer.

You have provided your card or billing information at the time of enrolment for our services at Verificio.com, thereby authorizing us to charge your card or account with the cost of our services for a period. For any ongoing services you purchase that incur a periodic fee, you understand that you must cancel at least three (3) business days prior to your next billing cycle, or you will continue to incur the charge. You can cancel this service at any time by logging into the Verificio.com web site and going to "Account Settings".

Verificio operates a no refund policy regarding completed or ongoing Services, hence you agree that charges taken are non-refundable. You further understand that the fees from previous periods are non-refundable, regardless of whether or not you have logged in to view or use the platform during that period. Hence, we shall not refund you for any payment made for the use of the site notwithstanding the date, time and method of payment. In the event that Verificio determines that you are entitled to a refund of any part of the fees you paid in respect of our Services, such refund shall only be made credit to your Verificio account and are applicable only toward payment of future fees for use of our service and cannot be converted to cash or any other type of monetary refund.

We partner with payment service providers in providing our Services to you. In order to facilitate your payments on our Site, we may share your information with these financial partners. You therefore authorize us to share your identity and banking information with any third-party financial institution/payment service providers in respect of your payments for our Services. Verificio shall not be liable for any default, negligence or breach by the financial partners.

5.1 Without limiting the effect of other provisions of this Terms of Use, you agree to indemnify and defend Verificio.com, its officers, directors, employees, affiliates and agents for any claim for damages resulting from information derived from entries you made or searches you performed on its web site. You agree that Verificio is not liable for any monetary damages resulting from information obtained from searches on its platform. You further understand that all employee/employer information on Verificio.com come from records created by users, and that Verificio cannot guarantee that all information is completely up-to-date or accurate.

5.2 You agree to indemnify and hold harmless Verificio.com and its affiliates, officers, directors, agents, and employees, collectively and individually, against all costs, expenses, liabilities and damages (including reasonable attorney's fees) incurred by Verificio or its affiliates, officers, directors, agents, and employees, collectively and individually, in connection with any third party claims arising out of your use of the Site or any part of it; your failure to comply with any applicable laws and regulations; your breach of any obligations, warranties, representations, or undertakings set forth in this Terms of Use or our Privacy Policy; or/and your breach of the privacy rights (including failure to obtain consent) of any third party.

5.3 This indemnity obligation shall survive this Terms of Use and your use of the Site. Verificio reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with Verificio in asserting any available defenses.

By using Verificio.com, you accept the terms and conditions contained on this Site, which shall govern your use of this Platform or any links on the Platform. If you do not agree to these Terms of Use or our Privacy Policy, please do not use the Platform and/or the Services and exit immediately. In addition, if you do not agree to these Terms of Use or our Privacy Policy, you agree that your sole and exclusive remedy is to discontinue using this Platform. That notwithstanding, if you proceed to browsing, accessing, or otherwise using the Services in any manner, it will be deemed that you have accepted, without limitation or qualification, both the Terms of Use and our Privacy Policy for the Platform (the "Policy").

This Terms of Use constitutes a legally binding contract between you, (whether as a guest or registered user) and Verificio in your access and use of the Platform as well as its content, website, services and functionality made available on or through the Platform (collectively referred to as "the Services"). We therefore kindly request that you carefully read through these Terms and Conditions of Use (the "Terms of Use") before using the Platform.

We may, at any time, at our sole discretion, and as we deem necessary, review, revise and/or update this Terms of Use contained herein on Verificio.com. We therefore advise that you read through this "Terms and Conditions" periodically. You further agree that we will have no further obligation to notify you of any modifications and such updates or modifications shall become effective immediately upon the posting thereof or on any specified date. The most current version of the Terms of Use can be accessed at any time by selecting Terms of Use link at the bottom of the home page of our website.

To gain access to some areas of our Platform, you may be required to create an account which will require a Username and password and those areas of our Services may only be accessed only by the use of your username and password. Please note that your password MUST not be shared and you are solely responsible for keeping your password safe. You must also note that you are solely responsible for every and any access to the Platform and our Services through the use of your username and password; you are therefore required to ensure that your password is known only to you at all times. Please ensure that we are immediately informed if you have any reason to believe that your username or password has been compromised in any way, lost or misused in any way. Also immediately report any unauthorized or suspicious activity in your account.

You understand that we may require that you provide some information and documentation about you when registering on our Site. These are intended to enable us identify and know you well and may include:

• Valid photo ID (preferably government-issued) or any other recognized valid means of identification; and
• In the case of Corporate bodies/Organizations, a copy of your certificate of incorporation/Registration.

You may also be required to provide further information and documentation as may become necessary from time to time.

Unless otherwise expressly granted or until reasonably proven that any communication, information or material is either in full or part, in the public domain through other means or sources, you undertake that all communication, content, verification reports, intellectual property or other information, personal data and materials on the Site, either marked 'confidential' or is by its nature intended to be for your knowledge and use alone, shall be treated as confidential and strictly kept so. Furthermore, any communication, content, intellectual property or other information, and materials you obtain in terms of or arising from the use of our Site shall be treated as confidential and shall not be disclosed or permitted to be disclosed to third parties, without our express written permission.

The confidentiality obligation does not however apply to information which:

• Has already been permitted by Verificio to be disclosed; or
• Which was already in the public domain through no fault of yours; or
• Was already known and freely available to you before receipt from Verificio; or
• Was received from an independent third-party without a duty of confidentiality; or
• is demanded by a governmental, judicial or regulatory order, provided that such written notification of demand is first given to Verificio before such disclosures; or
• is independently developed without using any of Verificio's confidential information.

You understand and agree that that all your obligations relating to Confidential Information as detailed above will continue even after termination of the Services or your use of the Platform, or termination of your access rights.

You further understand, acknowledge and consent that any contents (feedbacks, ideas, suggestions, comments, questions, or reports) you make or provide on Verificio.com unless in cases where they are expressly declared confidential, are not confidential and you hereby grant to Verificio a general and irrevocable consent to use same as it deems fit and necessary without any expectation of any royalties or payments whatsoever. It will be our sole discretion to use any or all of the information for commercial or non-commercial purposes.

Verificio.com is designed mainly for verification and referencing purposes as well as other added services. As a user of the platform, you agree to be bound by the following terms:

• You are wholly responsible for the decisions you make using the information obtained from the platform. Verificio, its Directors, employees, affiliates or agents shall not be liable for any damage, loss or cost (directly or indirectly) incurred as a result of your use or reliance upon any verification result, reports, information, or other contents of this site or any other linked to it.
• Users of the Site are only granted a limited access that cannot be transferred or sub-licensed. Verificio retains all rights not expressly granted to you in these Terms of Use or any other specific Service Level Agreement.
• Access granted to you on this Site does not any way imply a transfer of title. You may not modify or copy the materials and is not permitted to transfer the material to another person or reproduce same on another server or Site.

Verificio Technologies Inc. shall remain the owner of the know-how, trademarks, service marks, logos, slogans, patents, copyright or other intellectual property rights belonging to it within or outside this website. The access granted you to use the platform is only a temporary license and does not imply a transfer of any intellectual property right belonging to Verificio, and you are not allowed to use any such rights belonging to Verificio without a written consent.
